1. Evernorth begins trading as XRPN on Nasdaq

Evernorth, a company backed by Ripple and built to accumulate XRP, started trading on the Nasdaq exchange on Monday, October 12, under the ticker XRPN. The listing followed the closing of its merger with the blank-check vehicle Armada Acquisition Corp. II on Friday, October 9. Evernorth enters public markets with about 473 million XRP and roughly $300 million in gross cash, though its token stash is worth far less than planned.

For retail and institutional investors alike, the practical appeal is access. Anyone with an ordinary brokerage account can now take a position tied to XRP without opening a crypto exchange account or managing a wallet. The company describes itself as the largest publicly traded business focused on XRP.

The merger structure is one that has become familiar in crypto finance. A special purpose acquisition company, or SPAC, is a shell that raises cash from public investors and then combines with a private operating business, giving that business a faster route to a stock market listing than a traditional initial public offering.

2. How much is Evernorth's XRP worth now?

At the reference price of $1.43 per token used in the closing filing, Evernorth's 473 million XRP is worth about $677 million. That is well short of the more than $1 billion figure the company highlighted when the deal was first announced in October 2025.

The gap comes from the token's decline. The merger documents valued XRP at $2.37 at the time of signing, so the asset lost roughly 40% of its value between the announcement and the closing. XRP reached its all-time high of $3.65 in July 2025, which means the current reference price sits about 61% below that peak.

The company's own purchases tell a similar story. Evernorth spent about $947 million buying XRP in late October 2025. By February, that position was already around $446 million below its cost. Because most of the treasury is marked at today's lower prices, the balance sheet carries a large unrealized loss against what was paid for part of the holdings.

3. Why the Evernorth XRPN listing matters for XRP

The Evernorth XRPN debut is one of the larger tests of whether the treasury-company model can work for an asset other than Bitcoin. XRP is the token associated with the XRP Ledger and is closely tied to Ripple, whose executives and affiliates are among the biggest holders of Evernorth. That overlap makes the company both an investment vehicle and a signal of how committed XRP's main backers are to bringing the token into regulated markets.

The timing also matters. The deal was priced when XRP traded near $2.37 and closed when it sat near $1.43. Companies that raise capital at one market level and complete it at another often face a mismatch between expectations and reality, and the sharp drop in XRPN's share price during the week of the merger shows how quickly sentiment can shift once a SPAC reaches its final stage.

For shareholders, the central question is no longer how the structure was built but how it performs as a listed company. With the lock-ups still in place, most of the stock held by insiders cannot be sold, so the shares that do trade come from the small public float. That arrangement can amplify moves in either direction.

4. What is a digital asset treasury company?

A digital asset treasury company, often shortened to DAT, is a publicly traded business whose main activity is holding a cryptocurrency on its balance sheet. Strategy, formerly known as MicroStrategy, popularized the model with Bitcoin, and Evernorth applies the same idea to XRP.

These companies are usually judged by a measure called market-to-net-asset value, or mNAV. It divides the company's stock market value by the value of the crypto it holds. When the ratio is above 1, the firm can sell new shares at a premium and use the proceeds to buy more tokens, increasing holdings per share. When it falls below 1, issuing shares dilutes existing owners, and the strategy of growing through equity sales stops working.

A related point is that mNAV is a market-driven number rather than an accounting figure. It changes every trading day with both the share price and the token price, so a company can move from a premium to a discount without any change in its own holdings. For a newly listed firm with few public shares, even modest trading can shift the ratio noticeably.

That mechanism explains why the first weeks of trading matter. A treasury company that trades at a discount to its assets loses its main tool for expansion, while one that holds a premium can compound its position.

5. Why did most SPAC investors cash out?

About 80.3% of Armada's public shareholders, representing 18.5 million shares, chose to redeem their stock for cash at roughly $10.58 per share. Those redemptions removed approximately $195 million from the deal and left only about 4.5 million public shares available to trade.

Redemption is a standard feature of SPACs: holders may take their money back instead of staying in the merged company. A rate that high is a sign that many investors preferred certainty over exposure to XRP and to the new business. It also left Evernorth with a very small public float, a condition that tends to produce sharp price swings because few shares change hands.

The price history reflects that. XRPN reached an intraday high of $53 on October 2 and closed that Friday at $39.42. By October 9, the day the merger closed, the shares had dropped to $17.09. On its first trading day under the Evernorth name, the stock briefly moved toward $19 before sliding to $16.64 by midday Monday, according to market data from Yahoo Finance.

6. Who owns Evernorth?

Ownership is concentrated among a few strategic backers. The Tokyo-listed financial group SBI Holdings controls 39.9% of the voting shares. A fund managed by Arrington Capital holds 19.9%, and an entity tied to Ripple co-founder Chris Larsen holds 9.9%. Ripple itself is capped at 9.9% of voting power.

Ripple, a trust linked to Larsen and the Arrington fund have each agreed to six-month lock-ups that run through April 2027. During that period they cannot sell their stakes, which limits the amount of stock that could reach the market from its largest holders.

Concentrated ownership cuts both ways. It gives the company stable, committed shareholders with close ties to the XRP ecosystem, and it reduces the risk of a sudden wave of selling from the biggest holders. At the same time, it means the stock available to ordinary investors is limited, and decisions about strategy rest with a small group of large backers.

The treasury was assembled largely through contributions rather than market purchases. Most of the XRP came from existing holders who swapped tokens for Evernorth stock. Arrington's fund contributed about 211 million XRP, Ripple about 127 million, and the Larsen-linked trust 50 million. The remaining roughly 84 million tokens were bought at an average price of $2.53 using $214 million of early funding.

7. What will Evernorth do with its XRP?

Evernorth does not intend to leave its tokens idle. The company plans to generate yield through decentralized finance, the ecosystem of blockchain-based lending and trading protocols, and to operate validators on the XRP Ledger, the network that processes XRP transactions. The stated aim is to increase the amount of XRP held per share over time.

Hugo Jeandesboz, previously a co-chief investment officer at Coinbase Asset Management, will lead that strategy. In the merger announcement, Michael Arrington of Arrington Capital said Evernorth brings together "scaled capital, active participation and the standards of a public company."

Validators are the computers that help confirm transactions on a blockchain network, and running them is a way for a large holder to take part in the network directly. Combined with decentralized finance activity, it gives the company a route to income that does not require selling any of its tokens.

Earning yield is meant to offset a weakness of the pure holding model. A treasury that only holds a token depends entirely on its price, whereas one that produces income can add to its holdings even when the market is flat. The approach also carries execution and counterparty risks that a simple custody arrangement does not.

8. What comes next for XRPN shareholders?

The first public milestone is ceremonial. Evernorth plans to ring the Nasdaq closing bell on Wednesday, October 14. Its warrants, which can be exercised at $11.50, now trade separately under the symbol XRPNW.

Investors will be watching three things in the coming weeks: whether the thin float keeps the share price volatile, how the stock trades relative to the value of its XRP, and when the company begins to show results from its yield and validator plans. The lock-ups that restrict the largest holders end in April 2027.

For readers following the broader market, the debut also offers a data point on investor appetite for crypto-linked equities. A listing that opens near $19 and trades below $17 within hours, after a SPAC redemption rate above 80%, suggests that demand for this kind of vehicle is selective. The coming weeks will show whether the stock stabilizes as the redemption effects fade from the share count or whether the discount to the value of its XRP persists.
